SPA (Share Purchase Agreement)

A Share Purchase Agreement (SPA) is a legal contract that governs the sale and purchase of shares in a company. It sets out the terms and conditions of the sale, including the price, the number of shares being sold, any conditions of the sale, representations and warranties made by the seller, and any post-closing obligations of the parties.

The SPA is typically signed by the buyer and the seller, and may also be signed by the company whose shares are being sold. The SPA is an important document that helps to ensure that the sale of the shares is carried out in a legally binding and transparent manner.
